Terms of Service
Effective May 14, 2026. The agreement between you and SyX Solutions when you use this website or work with us.
These Terms of Service ("Terms") govern your access to and use of the website at syx.solutions (the "Site") and the consulting, implementation, software, and managed services provided by SyX Solutions ("SyX," "we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms. If you do not agree, do not use the Site or our services.
1. Who We Are
SyX Solutions is a Texas business that designs, builds, and operates AI systems for service businesses. Services include AI voice agents, SMS agents, automation, custom websites, ad campaigns, lead-acquisition systems, and the consulting work surrounding them. The specific scope of any engagement is defined in a separate written proposal, statement of work, or invoice.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or any business you represent.
3. Engagement and Payment
Proposals and scope
Project scope, deliverables, timeline, and price are documented in a written proposal or invoice we send you. By making payment, replying with written approval, or beginning collaboration on a defined scope, you accept that scope and these Terms as the agreement between us.
Setup fees
Where a setup fee is quoted, the setup fee is due before build work begins. Build work, integrations, and access provisioning do not start until setup is paid in full unless we agree otherwise in writing.
Recurring fees
Recurring monthly retainers are billed in advance on the same calendar day each month. Unless cancelled in writing at least seven days before the next billing cycle, the recurring charge will continue automatically. Recurring fees cover the operating, monitoring, optimization, and support of the systems we deliver.
Failed or late payment
If a payment fails or is more than seven days past due, we may pause the services associated with that engagement until the account is current. Repeated non-payment is grounds for termination.
4. Refunds
Setup fees are earned on commencement of work and are non-refundable once build work has begun. Recurring monthly fees are non-refundable for the month already billed. We may, at our discretion, prorate or refund a recurring fee where we have failed to deliver agreed-upon work that month. Where a free trial is offered, no charge applies during the trial and you may cancel at any time before the trial converts.
5. Your Responsibilities
To deliver our services, we rely on you to provide timely access, information, content, approvals, and decisions. Specifically you agree to:
- Provide accurate information about your business and customers
- Grant the access we need (calendar, CRM, ad accounts, lead-source feeds, hosting, domain) on the schedule we agree to
- Respond to questions and approvals in a timely manner so the project can move
- Comply with all laws applicable to your business and the use of the systems we deliver, including but not limited to the TCPA, CAN-SPAM, GLBA where it applies to you, state UDAP statutes, and any industry-specific regulation
- Maintain the rights and consents required for any contact lists, customer data, recordings, or content you provide to us
6. Ownership and License
You retain ownership of the content, brand assets, customer data, and account credentials you provide. We retain ownership of our internal tooling, frameworks, prompts, infrastructure, and the methodology we use to build your systems. Upon full payment, you receive a non-exclusive, perpetual license to use the deliverables we ship for your business in the ordinary course of operating your business. We may reference our work for you (logo, screenshots, results) in our portfolio and marketing unless you ask us in writing not to.
7. AI Output Disclaimer
The systems we deliver use artificial intelligence and large language models, which can produce inaccurate or unexpected output. While we design, test, and continuously tune these systems for safe and accurate operation in your business context, we do not guarantee that an AI agent will respond perfectly in every scenario. You agree to retain a reasonable level of human oversight where the stakes warrant it (regulated advice, medical, legal, financial recommendations, or anything else where an AI mistake could materially harm a customer).
8. Service Availability
We rely on third-party providers (cloud, voice, SMS, calendar, payment, model providers) to deliver our services. We work to maintain high uptime, but we do not guarantee uninterrupted service. We are not liable for downtime caused by upstream provider outages or by issues outside our reasonable control.
9. Confidentiality
Each party agrees to keep confidential any non-public information shared by the other party in the course of an engagement, and to use that information only for the purpose of delivering or receiving the services. This obligation continues for two years after the engagement ends.
10. Termination
You may cancel a recurring engagement in writing at any time. Cancellation is effective at the end of the then-current billing month. We may terminate an engagement at any time for cause (including non-payment, abusive behavior, illegal activity, or misuse of the systems we deliver). Upon termination, we will provide reasonable transition assistance for up to 14 days; ongoing operation of any systems beyond that period requires a new agreement.
11. Limitation of Liability
To the fullest extent permitted by law, SyX is not liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to the Site or our services, including lost profits, lost revenue, lost data, or business interruption. Our total liability for any claim relating to the Site or our services is limited to the amount you paid us for the services giving rise to the claim during the three months preceding the event giving rise to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless SyX, its owners, employees, and contractors from and against any claims, damages, costs, and expenses (including reasonable attorney fees) arising out of: (a) your use of the Site or our services in violation of these Terms or applicable law; (b) the content, lists, data, or recordings you provide to us; or (c) any third-party claim that your use of the systems we deliver caused harm.
13. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or our services shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. The "Effective" date at the top reflects the latest revision. Continued use of the Site or our services after a change indicates acceptance of the revised Terms.
